Servidyne to Be Acquired by Privately Held Scientific Conservation Inc. for $13 Million

Atlanta – Servidyne, a provider of energy efficiency and demand response technology, has agreed to be acquired by Scientific Conservation, a privately held provider of predictive diagnostics and analytics technology supporting energy efficiency in commercial buildings.

Scientific Conservation has agreed to pay $3.50 per share for Servidyne (NASDAQ: SERV), or about $13 million total — a premium of about 50% over the company’s closing share price last week.

The acquisition, which is expected to close before the end of this October, is subject to approval by Servidyne’s shareholders. As a result of the acquisition, Servidyne would no longer be a publicly traded company.

Scientific Conservation
offers its energy management software technology through a software-as-a-service (SaaS) platform to help reduce annual energy spending, by comparing predicted energy and system efficiencies against real-time operation.

Servidyne provides energy efficiency and demand response solutions, sustainability programs, and other products and services that enhance the operating and financial performance of existing buildings.
